\u575a\u679c\u4e91\u662f\u9762\u5411\u6240\u6709\u6ce8\u518c\u7528\u6237\uff0c\u63d0\u4f9b\u6570\u636e\u7684\u540c\u6b65\u3001\u5907\u4efd\u3001\u5206\u4eab\u529f\u80fd\u5e76\u5e2e\u52a9\u534f\u540c\u529e\u516c\u7684\u4e2a\u4eba\u4e91\u5b58\u50a8\u670d\u52a1\u3002\u201c\u4fbf\u6377\u5b89\u5168\u201d\u662f\u575a\u679c\u4e91\u7684\u670d\u52a1\u5b97\u65e8\u3002\u8bf7\u60a8\u4ed4\u7ec6\u9605\u8bfb\u575a\u679c\u4e91\u670d\u52a1\u6761\u6b3e\uff08\u4e0b\u79f0\u201c\u672c\u6761\u6b3e\u201d\uff09\uff0c\u5982\u679c\u60a8\u540c\u610f\u672c\u6761\u6b3e\uff0c\u90a3\u4e48\u60a8\u53ef\u4ee5\u6ce8\u518c\u6210\u4e3a\u575a\u679c\u4e91\u7684\u7528\u6237\uff08\u4e0b\u79f0\u201c\u7528\u6237\u201d\uff09\uff0c\u4f7f\u7528\u575a\u679c\u4e91\u63d0\u4f9b\u7ed9\u60a8\u7684\u670d\u52a1\uff1b\u5982\u679c\u60a8\u4e0d\u540c\u610f\u672c\u6761\u6b3e\uff0c\u90a3\u4e48\u8bf7\u60a8\u7acb\u5373\u505c\u6b62\u4f7f\u7528\u575a\u679c\u4e91\u3002\u672c\u6761\u6b3e\u9002\u7528\u4e8e\u4efb\u4f55\u575a\u679c\u4e91\u63d0\u4f9b\u7684\u670d\u52a1\u3002<\/strong><\/p>\n

2. \u6ce8\u518c<\/strong><\/h2>\n

\u8bbf\u5ba2\u901a\u8fc7\u575a\u679c\u4e91\u7684\u6ce8\u518c\u7a0b\u5e8f\u70b9\u51fb\u201c\u6ce8\u518c\u201d\u540e\uff0c\u5219\u8868\u793a\u8bbf\u5ba2\u4e0e\u575a\u679c\u4e91\u53cc\u65b9\u63a5\u53d7\u672c\u6761\u6b3e\u4e14\u5b8c\u6210\u6ce8\u518c\uff0c\u8bbf\u5ba2\u6210\u4e3a\u575a\u679c\u4e91\u7684\u7528\u6237\u3002\u5982\u679c\u8bbf\u5ba2\u4e0d\u540c\u610f\u672c\u6761\u6b3e\u6216\u4e0d\u586b\u5199\u76f8\u5173\u8d44\u6599\uff0c\u5219\u4e0d\u80fd\u5b8c\u6210\u6ce8\u518c\uff0c\u65e0\u6cd5\u6210\u4e3a\u575a\u679c\u4e91\u7684\u7528\u6237\u3002<\/p>\n

\u5982\u679c\u7528\u6237\u63d0\u4f9b\u7684\u6ce8\u518c\u8d44\u6599\u4e0d\u51c6\u786e\uff0c\u4e0d\u771f\u5b9e\uff0c\u4e0d\u5408\u6cd5\uff0c\u575a\u679c\u4e91\u6709\u6743\u7ec8\u6b62\u5411\u8be5\u7528\u6237\u63d0\u4f9b\u670d\u52a1\uff0c\u5e76\u6709\u6743\u6ce8\u9500\u5176\u5e10\u53f7\u3002\u56e0\u6b64\u4ea7\u751f\u7684\u4e00\u5207\u635f\u5931\u7531\u7528\u6237\u81ea\u884c\u627f\u62c5\u3002<\/p>\n

3. \u5e10\u53f7\u548c\u5bc6\u7801<\/strong><\/h2>\n

\u5982\u679c\u8bbf\u5ba2\u6ce8\u518c\u6210\u529f\uff0c\u5219\u62e5\u6709\u575a\u679c\u4e91\u7684\u4e00\u4e2a\u7528\u6237\u5e10\u53f7\u53ca\u76f8\u5e94\u5bc6\u7801\u3002\u7528\u6237\u5e94\u59a5\u5584\u4fdd\u7ba1\u5e10\u53f7\u548c\u5bc6\u7801\uff0c\u575a\u679c\u4e91\u4e0d\u5bf9\u7528\u6237\u5e10\u53f7\u548c\u5bc6\u7801\u7684\u4fdd\u7ba1\u627f\u62c5\u4efb\u4f55\u8d23\u4efb\u3002<\/p>\n

\u7528\u6237\u6709\u6743\u968f\u65f6\u66f4\u6539\u5bc6\u7801\uff0c\u82e5\u53d1\u73b0\u4efb\u4f55\u5b89\u5168\u6f0f\u6d1e\u6216\u975e\u6cd5\u4f7f\u7528\u7528\u6237\u5e10\u53f7\u7684\u60c5\u51b5\uff0c\u5e94\u5f53\u7acb\u5373\u901a\u77e5\u575a\u679c\u4e91\u3002\u82e5\u7528\u6237\u975e\u6cd5\u8bbf\u95ee\u5176\u4ed6\u7528\u6237\u5e10\u53f7\uff0c\u5219\u627f\u62c5\u4e00\u5207\u56e0\u6b64\u4ea7\u751f\u7684\u6cd5\u5f8b\u540e\u679c\u3002<\/p>\n

\u7528\u6237\u540c\u610f\u5728\u672a\u7ecf\u6388\u6743\u7684\u60c5\u51b5\u4e0b\uff0c\u4e0d\u5f97\u4f7f\u7528\u5176\u4ed6\u6210\u5458\u7684\u5e10\u6237\u3001\u7528\u6237\u540d\u6216\u5bc6\u7801\uff0c\u7531\u6b64\u4ea7\u751f\u7684\u4e00\u5207\u635f\u5931\u7531\u8be5\u7528\u6237\u81ea\u884c\u627f\u62c5\u3002<\/p>\n

\u7528\u6237\u9700\u4fdd\u8bc1\u6ce8\u518c\u7684\u575a\u679c\u4e91\u8d26\u6237\u4e3a\u5408\u6cd5\u548c\u53ef\u8fbe\u7684\u90ae\u7bb1\uff0c\u7528\u6237\u6388\u6743\u575a\u679c\u4e91\u8fd0\u8425\u65b9\u5411\u7528\u6237\u90ae\u7bb1\u53d1\u9001\u548c\u575a\u679c\u4e91\u670d\u52a1\u76f8\u5173\u7684\u4fe1\u606f\u548c\u901a\u77e5\u3002<\/p>\n

\u7528\u6237\u4e0d\u5f97\u8d60\u4e0e\u3001\u79df\u7528\u3001\u8f6c\u8ba9\u6216\u552e\u5356\u7528\u6237\u5e10\u53f7\u6216\u8005\u4ee5\u5176\u4ed6\u65b9\u5f0f\u8bb8\u53ef\u975e\u7528\u6237\u672c\u4eba\u4f7f\u7528\u670d\u52a1\u5e10\u53f7\uff0c\u975e\u672c\u4eba\u4e0d\u5f97\u901a\u8fc7\u53d7\u8d60\u3001\u627f\u79df\u3001\u53d7\u8ba9\u6216\u8005\u5176\u4ed6\u4efb\u4f55\u65b9\u5f0f\u4f7f\u7528\u670d\u52a1\u5e10\u53f7\uff0c\u7531\u6b64\u4ea7\u751f\u7684\u4e00\u5207\u635f\u5931\u7531\u8be5\u7528\u6237\u81ea\u884c\u627f\u62c5\u3002<\/p>\n

4. \u4f7f\u7528\u89c4\u5219<\/strong><\/h2>\n

\u5982\u7528\u6237\u5728\u4f7f\u7528\u8fc7\u7a0b\u4e2d\u6ce8\u518c\u8d44\u6599\u53d1\u751f\u53d8\u66f4\uff0c\u5219\u7528\u6237\u5e94\u5f53\u53ca\u65f6\u66f4\u65b0\u51c6\u786e\u7684\u3001\u8be6\u7ec6\u7684\u6ce8\u518c\u8d44\u6599\u3002<\/p>\n

\u7528\u6237\u5e94\u5f53\u5bf9\u4ee5\u5176\u7528\u6237\u5e10\u53f7\u8fdb\u884c\u7684\u4efb\u4f55\u884c\u4e3a\u627f\u62c5\u6cd5\u5f8b\u8d23\u4efb\uff0c\u5305\u62ec\u4f46\u4e0d\u9650\u4e8e\u7528\u6237\u4e0a\u4f20\u6216\u6563\u64ad\u6587\u672c\u3001\u97f3\u9891\u3001\u89c6\u9891\u3001\u56fe\u7247\u3001\u8f6f\u4ef6\u6216\u5176\u5b83\u8d44\u6599\uff0c\u4ee5\u53ca\u672c\u4eba\u6216\u4ed6\u4eba\u5229\u7528\u5176\u5e10\u53f7\u548c\u5bc6\u7801\u6240\u8fdb\u884c\u7684\u4e00\u5207\u884c\u4e3a\u3002\u5982\u56e0\u7528\u6237\u672a\u4fdd\u7ba1\u597d\u5176\u5e10\u53f7\u548c\u5bc6\u7801\u800c\u7ed9\u575a\u679c\u4e91\u3001\u7b2c\u4e09\u65b9\u9020\u6210\u635f\u5931\uff0c\u7528\u6237\u5e94\u5f53\u8d54\u507f\u575a\u679c\u4e91\u548c\u7b2c\u4e09\u65b9\u56e0\u6b64\u9020\u6210\u7684\u4e00\u5207\u635f\u5931\uff0c\u5e76\u6d88\u9664\u5f71\u54cd\u3002<\/strong><\/p>\n

\u5982\u679c\u7528\u6237\u8fdd\u53cd\u6cd5\u5f8b\u6cd5\u89c4\u6216\u672c\u6761\u6b3e\u7684\u7ea6\u5b9a\uff0c\u575a\u679c\u4e91\u5bf9\u7528\u6237\u4f7f\u7528\u7684\u575a\u679c\u4e91\u53ca\u76f8\u5173\u670d\u52a1\u91c7\u53d6\u4efb\u4f55\u884c\u4e3a\u6216\u63aa\u65bd\u540e\uff0c\u5bfc\u81f4\u670d\u52a1\u6682\u65f6\u6216\u6c38\u4e45\u65e0\u6cd5\u4f7f\u7528\uff0c\u7528\u6237\u5e94\u81ea\u884c\u627f\u62c5\u76f8\u5e94\u540e\u679c\uff08\u5305\u62ec\u4f46\u4e0d\u9650\u4e8e\u7528\u6237\u8d44\u6599\u53ca\u76f8\u5173\u6570\u636e\u3001\u4ed8\u8d39\u670d\u52a1\u7b49\u7684\u6e05\u7a7a\u6216\u65e0\u6cd5\u4f7f\u7528\u7b49\uff09\u3002\u7531\u6b64\u9020\u6210\u635f\u5931\u7684\uff0c\u7528\u6237\u5e94\u81ea\u884c\u627f\u62c5\u3002<\/strong><\/p>\n

\u7528\u6237\u7406\u89e3\u5e76\u540c\u610f\u5728\u4f7f\u7528\u575a\u679c\u4e91\u63d0\u4f9b\u7684\u5404\u9879\u670d\u52a1\u65f6\uff0c\u63a5\u53d7\u575a\u679c\u4e91\u548c\u7b2c\u4e09\u65b9\u63d0\u4f9b\u7684\u5404\u7c7b\u4fe1\u606f\u670d\u52a1\u3002\u7528\u6237\u7406\u89e3\u5728\u4f7f\u7528\u575a\u679c\u4e91\u63d0\u4f9b\u7684\u670d\u52a1\u65f6\u53ef\u80fd\u6709\u6765\u81ea\u7b2c\u4e09\u65b9\u7684\u975e\u6cd5\u5185\u5bb9\uff0c\u5305\u62ec\u4f46\u4e0d\u9650\u4e8e\u5a01\u80c1\u3001\u8bfd\u8c24\uff0c\u7528\u6237\u540c\u610f\u81ea\u884c\u627f\u62c5\u524d\u8ff0\u98ce\u9669\u3002<\/strong><\/p>\n

\u4e3a\u4e86\u5408\u7406\u5730\u4fdd\u62a4\u672a\u6210\u5e74\u4eba\u7684\u8eab\u5fc3\u5065\u5eb7\u3001\u8fdc\u79bb\u6709\u5bb3\u4fe1\u606f\uff0c\u5982\u7528\u6237\u662f\u672a\u6210\u5e74\u4eba\uff0c\u5219\u987b\u5728\u76d1\u62a4\u4eba\u7684\u6307\u5bfc\u4e0e\u76d1\u7763\u4e0b\u4f7f\u7528\u575a\u679c\u4e91\u53ca\u63a5\u53d7\u575a\u679c\u4e91\u7684\u670d\u52a1\uff0c\u5426\u5219\u8bf7\u7acb\u5373\u505c\u6b62\u6ce8\u518c\u6216\u7ec8\u6b62\u4f7f\u7528\u575a\u679c\u4e91\u3002<\/strong><\/p>\n

Nutstore Service Terms<\/strong><\/h3>\n

1. Special Note<\/strong><\/h2>\n

Nutstore is a personal cloud storage service that provides data synchronization, backup, sharing, and collaboration for all registered users. Convenience and safety are the service tenet of Nutstore. Please read Nutstore Service Terms (the \u201cTerms\u201d) carefully. If you agree to the Terms, you may register as a user of Nutstore (the \u201cUser\u201d), and use the services provided by Nutstore; If you do not agree to the Terms, please discontinue the use of Nutstore immediately. The Terms apply to any service provided by Nutstore.<\/strong><\/p>\n

2. Registration<\/strong><\/h2>\n

After the visitor clicks \u201cRegister\u201d through Nutstore registration process, it means that both the visitor and Nutstore accept the Terms and registration is completed. Visitor becomes a user of Nutstore. If the visitor disagrees with the Terms or does not complete the registration process, registration cannot be completed, and he or she cannot become a user of Nutstore.<\/p>\n

If the registration information provided by the User are inaccurate, false, or illegal, Nutstore shall have the right to terminate the provision of the Services to such User and cancel its account. All losses arising therefrom shall be borne by the User.<\/p>\n

3. Account and Password<\/strong><\/h2>\n

If the visitor registers successfully, he\/she will have a user account and password for Nutstore. The user account and password shall be properly kept, and Nutstore will have no responsibility for the custody of user account and password.<\/p>\n

The user shall have the right to change the password at any time and shall immediately notify Nutstore of any security breach or unauthorized use of user account. If the user illegally accesses to other user accounts, then the user shall bear all the legal consequences arising therefrom.<\/p>\n

The User agrees not to use the account, username or password of any other members without authorization, and all losses arising therefrom shall be borne by the User.<\/p>\n

The User shall guarantee that the registered Nutstore account is legal and reachable, and the User authorizes Nutstore to send to the user\u2019s mailbox any messages and notices related to Nutstore service.<\/p>\n

The User shall not give away, rent, transfer, or sell user account, or otherwise authorize persons other than such User to use the service account. Persons other than such User themselves shall not use the service account by donating, renting, accepting transfer or in any other means. Any losses caused thereby shall be solely borne by the User.<\/p>\n

4. Rules for Use<\/strong><\/h2>\n

In using Nutstore, users shall comply with laws and regulations.<\/p>\n

Users must abide by the following principles when using Nutstore:<\/p>\n

(1) Comply with all online agreements, regulations and procedures in relation to the provision of online services;<\/p>\n

(2) Nutstore shall not be used for any behavior that may adversely affect the normal operation of the Internet;<\/p>\n

(3) Nutstore shall not be used in any behavior detrimental to Nutstore, including but not limited to misuse service resources, reverse engineering in any form, cracking analysis and network attacks.<\/p>\n

(4) Nutstore shall not be used to transmit any disturbing, libelous, abusive, threatening, vulgar, obscene or any other illegal data or materials.<\/p>\n

(5) You must not attempt to use technical or non-technical means to access information contained in other user accounts in Nutstore, without the prior authorization from Nutstore.<\/p>\n

Nutstore only provides the network services related to cloud storage. The devices related to network services (including, without limitation, personal computers, mobile phones, and other devices related to connection to the Internet or mobile networks) and fees required (including, without limitation, the telephone charges and Internet access charges paid for access to the Internet and the mobile phone charges paid for use of mobile network) shall be borne by the users.<\/p>\n

Where there is any change in the user’s registration information in the course of use, the user shall promptly update accurate and detailed registration information.<\/p>\n

The User shall be legally responsible for any actions performed under his\/her account, including but not limited to the uploading or distributing of texts, audio, video, pictures, software or other materials by the User and all acts done by the User or others using the user\u2019s account and password. If Nutstore or a third party suffers any loss due to the failure of the User to unproperly keep his or her account and password, the User shall indemnify Nutstore or the third party for any loss caused thereby.<\/strong><\/p>\n

If the user violates the laws, regulations, or the provisions of the Term, then the user\u2019s Nutstore and related services temporarily or permanently unavailable after Nutstore company takes any act or measure to the related services used by the user, the Users shall bear the corresponding consequences (including but not limited to the emptying or unavailability of user data and related data, paid services, etc.). The User shall solely bear all losses caused thereby.<\/strong><\/p>\n

The user understands and agrees to receive various information services provided by Nutstore and third parties when using the services provided by Nutstore. In using the Services of Nutstore the user understands that illegal contents from third parties may be displayed, including, without limitation, threats and defamation, and agrees to assume such risk.<\/strong><\/p>\n

In order to reasonably protect the physical and mental health of minors and keep them away from harmful information, if the user is a minor, he\/she must use Nutstore and receive the service of Nutstore under the guidance and supervision of his\/her guardian. Otherwise, please immediately stop registration or terminate the use of Nutstore.<\/strong><\/p>\n

The user is only allowed to install and use Nutstore on hardware and\/or operating systems that have been legally acquired by the user and officially released by third-party manufacturers. Additionally, the operating system should be a version that Nutstore officially supports, as indicated on its official website. The installation or use of Nutstore on any hardware or operating systems that have not been lawfully acquired, or that are unauthorized by third-party manufacturers, including but not limited to pirated software, cracked systems, pre-release, beta, or developer-specific versions, or on any operating systems that are not publicly supported by Nutstore as indicated on its official website, is explicitly forbidden. Any user who installs or uses Nutstore in violation of these terms shall be solely responsible for any and all consequences, losses, damages, and legal obligations that may arise therefrom. 5. Modification, Interruption or Termination of Services<\/strong><\/h2>\n

Due to the specialty of Nutstore network services, users agree that Nutstore has the right to change, interrupt or terminate part or all of the network services at any time. If the changed, interrupted or terminated network service is a free service item, Nutstore will not need to give any prior notice to users or incur any liability to any users or any third parties. If the services are paid for, users must be given one month\u2019s notice in advance to negotiate a settlement of any unused or unpaid amounts. Upon cancellation or termination of the Services, User\u2019s right to use the Services immediately terminates and any information stored in the Services may not be recoverable.<\/strong><\/p>\n

Nutstore are regularly or from time to time responsible for the repair or maintenance of the platforms on which these online services are being provided and will not be responsible for any interruption of free internet services caused by such conditions. If the Charged Service is interrupted within a reasonable time, Nutstore shall not take any responsibility for it, but as much notice as may be required.<\/strong><\/p>\n

Nutstore will not be responsible for suspension or termination of the Services due to nature disaster, failures of other information service providers, related information equipment and software failures, or any irresistible factors, provided that the effect of such factors on users shall be as minimal as possible.<\/p>\n

For the interruption or termination of user services due to any factors other than those mentioned above, Nutstore shall bear no liability for free services. For paid services, Nutstore may make compensations on the principle of equal consultation and fairness and under the premise of not exceeding the total payment of users. In the case of a monthly payment, the total amount of compensation shall not exceed the amount of payment in the month in which service is interrupted and terminated. In the case of annual payment, the total amount of compensation shall not exceed the amount of payment in the year of service interruption and termination.<\/p>\n

To avoid wasting server resources, such as the fact that a free user has not logged on to Nutstore Service for more than three months, Nutstore reserves the right to terminate the user’s free service without notification and to delete the user’s data saved on the server. However, before exercising such right, Nutstore shall inform the User if possible to reduce the impact on the User of the exercise of such right.<\/p>\n

In order to avoid the waste of server resources, if the expired paid users fail to renew the services or convert the account into free services within three months, Nutstore reserves the right to terminate the paid services of such users without notice and delete the data saved by such users on the servers. However, before exercising such right, Nutstore shall inform the User if possible to reduce the impact on the User of the exercise of such right.<\/p>\n

6. Prohibited Acts<\/strong><\/h2>\n

Users shall not use Nutstore to spread sensitive information and information that violates national laws and policies in any manner, including but not limited to the following information:<\/p>\n

(1) Those which oppose the basic principles determined by the Constitution;<\/p>\n

(2) Endangering the unity, sovereignty and territorial integrity of the state;<\/p>\n

(3) Divulging state secrets, endangering state security or damaging the honor and interests of the state;<\/p>\n

(4) Inciting hatred or discrimination among ethnic groups, undermining the solidarity among ethnic groups, or infringing upon ethnic customs or habits;<\/p>\n

(5) Those which advocate evil cults and superstition;<\/p>\n

(6) Disseminating rumors, disturbing public order or disrupting social stability;<\/p>\n

(7) Advocating obscenity, gambling or violence, or instigating crimes;<\/p>\n

(8) Insulting or defaming others, or infringing upon others’ legitimate rights and interests;<\/p>\n

(9) Harm the social morality or the excellent national culture and tradition;<\/p>\n

(10) Other contents prohibited by laws, administrative regulations or state provisions.<\/p>\n

7. Price<\/strong><\/h2>\n

Except for the chargeable service items specified by Nutstore, Nutstore shall be registered and used for free.<\/p>\n

The User understands and agrees that Nutstore will have the right to charge a reasonable service fee for certain current free services as needed based on the actual needs. If the User does not agree to the charge for such services, the User will have the right to opt out of using such Services or stop using Nutstore.<\/p>\n

The User understands and agrees that Nutstore will have the right to decide whether to charge for the additional services, and that the User will have the option to accept or reject the Services.<\/p>\n

If the user accepts the charge item of Nutstore, then the users shall pay as per regulations concerning the charging of Nutstore. After the success of purchase, the users cannot get a refund for any of the following conditions:<\/p>\n

1) no unsolvable technical problems have occurred which prevents Nutstore from being used normally;<\/p>\n

2) software is abused in bad faith, illegal documents are shared, etc.<\/p>\n

If the User does not pay any fees or is in arrears, then Nutstore has the right not to provide the service to the User or stop providing the service to the User. Nutstore shall have the right to adjust the charges for items based on the actual need, and the user shall have the option to accept or refuse to use such items.<\/strong><\/p>\n

8. Privacy Policy<\/strong><\/h2>\n

Protecting users’ privacy is a basic policy of Nutstore. Nutstore guarantees that the registration information of a single user and the non-public contents stored in Nutstore by a user when using network services will not be publicized or provided to any third party, unless any of the following circumstances occurs:<\/p>\n

(1) provisions of relevant laws or procedures of legal service of Nutstore;<\/p>\n

(2) in the case of emergency, to safeguard the rights and interests of the user and the public;<\/p>\n

(3) to safeguard the trademark right, patent right and any other legal rights and interests of Nutstore;<\/p>\n

(4) other circumstances in which personal information needs to be made public, edited or disclosed as required by laws.<\/p>\n

9. Intellectual Property Rights<\/strong><\/h2>\n

Both the User and Nutstore understand and agree that all intellectual property rights, including but not limited to, trademarks, trade names, as well as platforms and layouts of Nutstore, in respect of technical achievements or solutions that are developed or lawfully acquired by Nutstore from third parties for the purpose of providing the Services to users shall belong to Nutstore or such third parties. Without the license of Nutstore, users may not use, modify, etc. in any form, the aforementioned Intellectual Property Right or any part thereof.<\/p>\n

Except as set forth above, the intellectual property rights of any works stored by user in Nutstore, including but not limited to pictures, music and videos, are owned by user (“User Works”) or third parties (“Third Party Works”). The user warrants that he\/she should have full intellectual property rights with respect to the aforementioned User Works; If it is Third Party Works, the user should obtain the third party license or have the right to legally use the third party work if not obtain the third party license.<\/p>\n

Unless otherwise provided by laws and regulations, users cannot use the Third Party Works in any manner without the prior permission of the owner of the works. If Nutstore receives reasonable notice from any third party owner or his legitimate representative of any work, Nutstore has the right to remove the infringing works accordingly; the User also has the right to give counter-notice with respect to the foregoing infringement claims.<\/p>\n

10. Infringement of Intellectual Property Rights<\/strong><\/h2>\n

The User warrants that no User Works or Third Party Works stored in the Nutstore will infringe upon any third party Intellectual Property Rights, including but not limited to, trademark right, copyright and trade secrets.<\/p>\n

If the User Works or Third Party Works stored in Nutstore results in a third party claiming that the aforementioned work infringes its intellectual property rights, the User shall be responsible for dealing with the third party claims, bear all charges incurred therefrom, including but not limited to attorney’s fees and tort compensation, and ensure that Nutstore will not suffer any losses due thereto. User agrees that, in the event of such infringement, Nutstore reserves the right to remove such infringing works.<\/p>\n

11. Disclaimers<\/strong><\/h2>\n

To the maximum extent permitted by applicable law, Nutstore will not in any event be liable to users for any special, accidental, direct or consequential damages arising from the use or inability to use the services provided by Nutstore.<\/strong><\/p>\n

Nutstore makes no warranty of any kind, express or implied, for the Services provided, including but not limited to, no warranty that the Services provided by Nutstore will meet the users\u2019 requirements, no warranty that the Services will be interrupted or not, and no warranty the that Services will be provided timely and safely.<\/strong><\/p>\n

12. Liability for Breach of Contract<\/strong><\/h2>\n

If the user violates national laws or regulations or the provisions of the terms and causes losses to Nutstore, the user shall compensate Nutstore for all losses incurred and eliminate the impact.<\/p>\n

13. Force majeure<\/strong><\/h2>\n

If the users cannot use the service provided by Nutstore due to force majeure events, Nutstore will not be responsible for any loss of users. Force majeure events shall include but not be limited to (1) natural disasters, such as typhoons, floods and hail; (2) government actions, such as expropriation and requisition; (3) abnormal social events, such as strike and riot; (4) suspension of services due to computer virus or hacker attack, Internet, communication line, etc.<\/p>\n

14. Effective Date and Valid Period<\/strong><\/h2>\n

The Terms shall come into effect after the user successfully registers Nutstore account. User rights terminate when user unregisters their username or when Nutstore terminates their user status. Thereafter, terms 9, 10, 11, 12, 15 and 16 shall continue in force.<\/p>\n

15. Governing Law and Dispute Resolution<\/strong><\/h2>\n

The Terms shall be construed and governed by the laws of the People’s Republic of China, without regard to any conflict of laws.<\/p>\n

Any dispute between the parties with respect to this Terms shall be resolved by friendly consultation in good faith between the Parties. If no settlement can be reached within 30 days, both parties agree to submit such dispute to Shanghai Arbitration Commission for arbitration in accordance with its then-effective arbitration rules. \u00a0The arbitral award is final and binding upon both parties. Unless otherwise provided in the arbitration award, the arbitration costs shall be borne by the losing Party.<\/strong><\/p>\n

16. General Terms<\/strong><\/h2>\n

In performing under these Terms, the User and Nutstore shall comply with all applicable laws.<\/p>\n

Nutstore has the right to send notices, advertisements, etc. to users by posting notices or sending emails on Nutstore and so on.<\/p>\n

Nothing contained in these Terms shall be construed to create a joint venture, partnership, agency, or any other relationship other than for the purposes of these Terms between the User and Nutstore.<\/p>\n

User understands and agrees that Nutstore reserves the right to modify the terms as necessary. If the user does not agree to the change, he\/she shall have the right to exit Nutstore and terminate the service relationship. If the user continues to use the services provided by Nutstore, it means that the user agrees to the modification of the terms.<\/p>\n

If any provision of the terms is held to be invalid for any reason, such invalid provision shall not affect the validity of any other provision, and such invalid provision shall be deemed non-existent from the moment.<\/p>\n

Nutstore has the right to assign any of its rights or obligations under the Terms.<\/p>\n
