坚果云是面向所有注册用户，提供数据的同步、备份、分享功能并帮助协同办公的个人云存储服务。“便捷安全”是坚果云的服务宗旨。请您仔细阅读坚果云服务条款（下称“本条款”），如果您同意本条款，那么您可以注册成为坚果云的用户（下称“用户”），使用坚果云提供给您的服务；如果您不同意本条款，那么请您立即停止使用坚果云。本条款适用于任何坚果云提供的服务。
2. 注册
访客通过坚果云的注册程序点击“注册”后，则表示访客与坚果云双方接受本条款且完成注册，访客成为坚果云的用户。如果访客不同意本条款或不填写相关资料，则不能完成注册，无法成为坚果云的用户。
如果用户提供的注册资料不准确，不真实，不合法，坚果云有权终止向该用户提供服务，并有权注销其帐号。因此产生的一切损失由用户自行承担。
3. 帐号和密码
如果访客注册成功，则拥有坚果云的一个用户帐号及相应密码。用户应妥善保管帐号和密码，坚果云不对用户帐号和密码的保管承担任何责任。
用户有权随时更改密码，若发现任何安全漏洞或非法使用用户帐号的情况，应当立即通知坚果云。若用户非法访问其他用户帐号，则承担一切因此产生的法律后果。
用户同意在未经授权的情况下，不得使用其他成员的帐户、用户名或密码，由此产生的一切损失由该用户自行承担。
用户需保证注册的坚果云账户为合法和可达的邮箱，用户授权坚果云运营方向用户邮箱发送和坚果云服务相关的信息和通知。
用户不得赠与、租用、转让或售卖用户帐号或者以其他方式许可非用户本人使用服务帐号，非本人不得通过受赠、承租、受让或者其他任何方式使用服务帐号，由此产生的一切损失由该用户自行承担。
4. 使用规则
用户在使用坚果云时，应当遵守相关的法律规则，包括但不限于《中华人民共和国宪法》、《中华人民共和国刑法》、《中华人民共和国民法通则》、《中华人民共和国合同法》、《中华人民共和国著作权法》、《中华人民共和国电信条例》、《互联网信息服务管理办法》、《互联网电子公告服务管理规定》、《中华人民共和国保守国家秘密法》、《中国人民共和国网络安全法》、《中华人民共和国反恐怖主义法》、《中华人民共和国计算机信息系统安全保护条例》、《计算机信息网络国际联网安全保护管理办法》、《全国人民代表大会常务委员会关于维护互联网安全的决定》及其相关的司法解释。
用户在使用坚果云的过程中，必须遵循以下原则：
(1)遵守所有与本网络服务有关的网络协议、规定和程序；
(2)不得利用坚果云进行任何可能对互联网的正常运转造成不利影响的行为；
(3)不得利用坚果云进行任何不利于坚果云的行为，包括滥用服务资源，进行任何形式的反向工程，破解分析和网络攻击；
(4)不得利用坚果云传输任何骚扰性的、中伤他人的、辱骂性的、恐吓性的、庸俗淫秽的或其他任何非法的信息资料；
(5)不得试图利用技术或非技术手段, 未经坚果云授权, 访问坚果云中其他用户账号中的信息资料。
坚果云仅提供与云存储相关的网络服务，除此之外与网络服务有关的设备（包括但不限于个人电脑、手机、及其他与接入互联网或移动网有关的装置）及所需要的费用（包括但不限于为接入互联网而支付的电话费及上网费、为使用移动网而支付的手机费）均应由用户自行承担。
如用户在使用过程中注册资料发生变更，则用户应当及时更新准确的、详细的注册资料。
用户应当对以其用户帐号进行的任何行为承担法律责任，包括但不限于用户上传或散播文本、音频、视频、图片、软件或其它资料，以及本人或他人利用其帐号和密码所进行的一切行为。如因用户未保管好其帐号和密码而给坚果云、第三方造成损失，用户应当赔偿坚果云和第三方因此造成的一切损失，并消除影响。
如果用户违反法律法规或本条款的约定，坚果云对用户使用的坚果云及相关服务采取任何行为或措施后，导致服务暂时或永久无法使用，用户应自行承担相应后果（包括但不限于用户资料及相关数据、付费服务等的清空或无法使用等）。由此造成损失的，用户应自行承担。
用户理解并同意在使用坚果云提供的各项服务时，接受坚果云和第三方提供的各类信息服务。用户理解在使用坚果云提供的服务时可能有来自第三方的非法内容，包括但不限于威胁、诽谤，用户同意自行承担前述风险。
为了合理地保护未成年人的身心健康、远离有害信息，如用户是未成年人，则须在监护人的指导与监督下使用坚果云及接受坚果云的服务，否则请立即停止注册或终止使用坚果云。
用户只允许在合法取得且第三方厂商正式公开发布的硬件和/或操作系统上安装使用坚果云，且该操作系统应为在坚果云官网公示支持的操作系统版本。如果用户在盗版硬件或系统，被破解的软件或系统上安装使用坚果云，或在非操作系统厂商正式公开发布的硬件或操作系统，包括操作系统厂商提供用于预览，测试和仅面向开发人员发布的硬件或操作系统，或在坚果云未明确公示支持的操作系统上安装和使用坚果云，所产生的一切后果由用户自行承担。坚果云明确公示支持的操作系统详见：https://www.jianguoyun.com/s/downloads
5. 服务变更、中断或终止
由于坚果云网络服务的特殊性，用户同意坚果云有权随时变更、中断或终止部分或全部的网络服务。如变更、中断或终止的网络服务属于免费服务项目，坚果云无需提前通知用户，也无需对任何用户或任何第三方承担任何责任。如系付费服务项目，则须提前一个月通知用户，并协商解决任何已付未使用或未付款项的事宜。一旦服务取消或终止，用户使用本服务的权利立即终止，且在本服务中储存的任何信息可能无法恢复。
坚果云需要定期或不定期地对提供网络服务的平台或相关的设备进行检修或者维护，如因此类情况而造成免费网络服务中断，坚果云无需为此承担任何责任。如收费服务在合理时间内中断, 坚果云无须为此承担任何责任, 但应尽可能事先进行通告。
坚果云对于因为自然灾害, 其他信息服务商故障，相关信息设备和软件故障， 政府政策因素，或者任何不可阻挡因素导致服务中断或终止， 不承担任何责任， 但应尽可能减少该因素对用户的影响。
对于其他任何非上述因素导致的用户服务中断或终止， 坚果云可以在平等协商公平的原则下， 在延长的时长不超过用户已付费总时长的前提下，以延长相应服务中断时长的方式解决。 如果用户采取按月付费的模式， 总延长时长不得超过服务中断和终止当月账户已付费时长。 如果用户采取年付费的模式，总延长时长不得超过服务中断和终止当年账户已付费时长。
为避免服务器资源浪费，如免费用户超过三个月未登录使用坚果云服务，坚果云保留在未经通知的情况下终止该用户的免费服务，并删除该用户在服务器上保存的数据的权利。但坚果云在行使该权利前，应尽可能的通知用户以减少该权利行使对用户的影响。
为避免服务器资源浪费，付费用户如果超过三个月未及时续费或者转化为免费服务，坚果云保留在未经通知的情况下终止该用户的付费服务，并删除该用户在服务器上保存的数据的权利。但坚果云在行使该权利前，应尽可能的通知用户以减少该权利行使对用户的影响。
6. 禁止行为
用户不得利用坚果云以任何方式传播敏感信息和违反国家法律、政策的信息，包括但不限于下列信息：
(1)反对宪法确定的基本原则的；
(2)危害国家统一、主权和领土完整的；
(3)泄露国家秘密、危害国家安全或者损害国家荣誉和利益的；
(4)煽动民族仇恨、民族歧视，破坏民族团结，或者侵害民族风俗、习惯的；
(5)宣扬邪教、迷信的；
(6)散布谣言，扰乱社会秩序，破坏社会稳定的；
(7)宣扬淫秽、赌博、暴力或者教唆犯罪的；
(8)侮辱或者诽谤他人，侵害他人合法权益的；
(9)危害社会公德或者民族优秀文化传统的；
(10)有法律、行政法规和国家规定禁止的其他内容的。
7. 费用
除坚果云明确规定收费的服务项目外，坚果云是免费注册、使用的。
用户理解并同意坚果云有权根据实际的需要对某些目前免费的服务项目收取合理的服务费，如用户不同意坚果云收取此项目费用，则用户有权退出使用该项服务或终止使用坚果云。
用户理解并同意坚果云对新增服务项目有权决定是否收费，用户有权选择接受或拒绝该项目服务。
如用户接受坚果云的收费项目，则用户应当按坚果云的收费规定支付费用；坚果云购买成功后，对满足如下任一情况的无法进行退款：1）未发生无法解决的技术问题导致不能正常使用；2）恶意滥用软件、分享非法文件等。如用户未支付费用或欠费，则坚果云有权不向用户提供此项服务或停止向用户提供此项服务。坚果云有权根据实际需要调整收费项目的资费,用户有权选择接受或拒绝使用。
8. 隐私保护
保护用户隐私是坚果云的一项基本政策，坚果云保证不会公开或向第三方提供单个用户的注册资料以及用户在使用网络服务时存储在坚果云 中的非公开内容，除非有下列情况出现：
(1)有关法律规定或坚果云合法服务程序规定；
(2)在紧急情况下，为维护用户及公众的权益；
(3)为维护坚果云的商标权、专利权及其他任何合法权益；
(4)其他依法需要公开、编辑或透露个人信息的情况。
9. 知识产权
用户和坚果云双方理解并同意坚果云为向用户提供服务而开发或从第三方合法获得的技术成果或方案的全部知识产权，包括但不限于，商标、商号、以及坚果云的平台、版面设计均归坚果云或该第三方所有。未经坚果云许可，用户不得以任何形式对前述知识产权或其任何部分进行使用、修改等。
除上述规定外，用户在坚果云中储存的任何作品，包括但不限于，图片、音乐、视频的知识产权归用户所有（“用户作品”）或第三方所有（“第三方作品”）。用户保证对前述用户作品享有完全知识产权；如系第三方作品，用户应当获得第三方的许可或未获得第三方许可但有权合法使用第三方作品。
除法律法规另有规定外，未获得第三方作品所有人的事先许可，用户不得以任何方式使用第三方作品。如果坚果云收到任何第三方作品所有人或其合法代表发给坚果云的合理通知后，坚果云有权移除相应侵权作品；用户也有权对前述侵权指控提出反通知。
10. 知识产权侵权
用户保证，在坚果云中储存的用户作品或第三方作品不侵犯任何第三方知识产权，包括但不限于商标权、版权和商业秘密。
若用户在坚果云中储存的用户作品或第三方作品导致第三方主张前述作品侵犯其知识产权，用户应当负责处理前述第三方的权利主张，承担由此招致的全部费用，包括但不限于律师费和侵权赔偿，并保证坚果云不会因此而遭受任何损失。用户同意，若发生上述侵权行为，坚果云有权移除上述侵权作品。
11. 免责和不保证
在适用法律允许的最大范围内，坚果云在任何情况下不对用户因使用或不能使用坚果云提供的服务所发生的特殊的、意外的、间接的、派生的、或惩罚性的损害和损失（如业务损失、收益损失、利润损失、机会损失、向第三方支付的费用、声誉/商誉损失或损害等）承担责任，无论基于合同、保证、侵权或任何其他责任理论，不论坚果云是否知道或应当知道上述损失或损害的可能性。另外即使本协议规定的排他性救济没有达到其基本目的，也应排除坚果云对上述损失的责任。
于任何情形下，坚果云基于本协议及相关订单和坚果云服务向用户所承担的赔偿责任（无论基于合同、侵权或任何其他责任理论）的总额，不超过用户就造成损失的坚果云服务已经向坚果云支付的费用总额；如果造成用户损失的相应坚果云服务的服务期限超过12个月的，则坚果云的最大赔偿责任不超过损害发生前12个月，用户就造成损失的坚果云服务已经向坚果云支付的费用总额（为免歧义，本处费用指用户就实际使用该服务的时长/数量等而实际已支付的现金）。若本条款与双方其他约定或坚果云服务规则冲突或不一致的，以本条约定为准。
坚果云不对提供的服务作任何明示或暗示的保证，包括但不限于不保证坚果云提供的服务一定能满足用户的要求，也不保证服务的及时性、安全性、是否会中断。
12. 违约责任
用户因违反国家法律法规或本条款的约定而给坚果云造成损失的，用户应赔偿坚果云因此而造成的一切损失，并消除影响。
13. 不可抗力
由于不可抗力事件，致使用户不能使用坚果云提供的服务时，坚果云不对用户的任何损失承担责任。不可抗力事件包括但不限于（1）自然灾害、如台风、洪水、冰雹；（2）政府行为，如征收、征用；（3）社会异常事件，如罢工、骚乱；（4） 计算机病毒或黑客攻击、互联网络、通信线路等原因造成服务中断。
14. 生效和期限
本条款在用户注册成功坚果云账号后开始生效。用户注销其用户名或坚果云终止您的用户资格时，用户使用权利终止。此后，第9、10、11、12、15和16条继续有效。
15. 法律适用和争议解决
本条款应受中华人民共和国法律解释和管辖，并不考虑法律冲突。
有关本条款的任何争议应由双方秉承善意友好协商解决。若三十日内协商不成，双方同意将争议提交上海仲裁委员会依据其当时有效的仲裁规则仲裁解决。仲裁裁决是终局的，对双方均有法律约束力。除非仲裁裁决另有规定，仲裁费用应由仲裁败诉方承担。
16. 一般条款
用户和坚果云在履行本条款的过程中，应遵从所有适用的法律。
坚果云有权通过在坚果云上发布通知或发送电子邮件等方式向用户发送通知、广告等。
本条款所载任何内容不应被解释为在用户和坚果云之间创设合资、合伙、代理或任何其它本条款目的以外的关系。
用户理解并同意坚果云有权根据实际需要修改本条款。如果您不同意变更，则用户有权退出坚果云，终止服务关系；如用户继续使用坚果云提供的服务，则表示用户同意本条款的修改。
若本条款中部分条款因任何原因而被认定无效，此种无效条款并不影响其他条款的有效性，且此种无效条款应自始视为不存在。
坚果云有权转让其在本条款下的任何权利或义务。
本条款中所有标题仅为方便阅读所设置，并不影响本条款任何部分的含义或解释。
Nutstore Service Terms
1. Special Note
Nutstore is a personal cloud storage service that provides data synchronization, backup, sharing, and collaboration for all registered users. Convenience and safety are the service tenet of Nutstore. Please read Nutstore Service Terms (the “Terms”) carefully. If you agree to the Terms, you may register as a user of Nutstore (the “User”), and use the services provided by Nutstore; If you do not agree to the Terms, please discontinue the use of Nutstore immediately. The Terms apply to any service provided by Nutstore.
2. Registration
After the visitor clicks “Register” through Nutstore registration process, it means that both the visitor and Nutstore accept the Terms and registration is completed. Visitor becomes a user of Nutstore. If the visitor disagrees with the Terms or does not complete the registration process, registration cannot be completed, and he or she cannot become a user of Nutstore.
If the registration information provided by the User are inaccurate, false, or illegal, Nutstore shall have the right to terminate the provision of the Services to such User and cancel its account. All losses arising therefrom shall be borne by the User.
3. Account and Password
If the visitor registers successfully, he/she will have a user account and password for Nutstore. The user account and password shall be properly kept, and Nutstore will have no responsibility for the custody of user account and password.
The user shall have the right to change the password at any time and shall immediately notify Nutstore of any security breach or unauthorized use of user account. If the user illegally accesses to other user accounts, then the user shall bear all the legal consequences arising therefrom.
The User agrees not to use the account, username or password of any other members without authorization, and all losses arising therefrom shall be borne by the User.
The User shall guarantee that the registered Nutstore account is legal and reachable, and the User authorizes Nutstore to send to the user’s mailbox any messages and notices related to Nutstore service.
The User shall not give away, rent, transfer, or sell user account, or otherwise authorize persons other than such User to use the service account. Persons other than such User themselves shall not use the service account by donating, renting, accepting transfer or in any other means. Any losses caused thereby shall be solely borne by the User.
4. Rules for Use
In using Nutstore, users shall comply with laws and regulations.
Users must abide by the following principles when using Nutstore:
(1) Comply with all online agreements, regulations and procedures in relation to the provision of online services;
(2) Nutstore shall not be used for any behavior that may adversely affect the normal operation of the Internet;
(3) Nutstore shall not be used in any behavior detrimental to Nutstore, including but not limited to misuse service resources, reverse engineering in any form, cracking analysis and network attacks.
(4) Nutstore shall not be used to transmit any disturbing, libelous, abusive, threatening, vulgar, obscene or any other illegal data or materials.
(5) You must not attempt to use technical or non-technical means to access information contained in other user accounts in Nutstore, without the prior authorization from Nutstore.
Nutstore only provides the network services related to cloud storage. The devices related to network services (including, without limitation, personal computers, mobile phones, and other devices related to connection to the Internet or mobile networks) and fees required (including, without limitation, the telephone charges and Internet access charges paid for access to the Internet and the mobile phone charges paid for use of mobile network) shall be borne by the users.
Where there is any change in the user’s registration information in the course of use, the user shall promptly update accurate and detailed registration information.
The User shall be legally responsible for any actions performed under his/her account, including but not limited to the uploading or distributing of texts, audio, video, pictures, software or other materials by the User and all acts done by the User or others using the user’s account and password. If Nutstore or a third party suffers any loss due to the failure of the User to unproperly keep his or her account and password, the User shall indemnify Nutstore or the third party for any loss caused thereby.
If the user violates the laws, regulations, or the provisions of the Term, then the user’s Nutstore and related services temporarily or permanently unavailable after Nutstore company takes any act or measure to the related services used by the user, the Users shall bear the corresponding consequences (including but not limited to the emptying or unavailability of user data and related data, paid services, etc.). The User shall solely bear all losses caused thereby.
The user understands and agrees to receive various information services provided by Nutstore and third parties when using the services provided by Nutstore. In using the Services of Nutstore the user understands that illegal contents from third parties may be displayed, including, without limitation, threats and defamation, and agrees to assume such risk.
In order to reasonably protect the physical and mental health of minors and keep them away from harmful information, if the user is a minor, he/she must use Nutstore and receive the service of Nutstore under the guidance and supervision of his/her guardian. Otherwise, please immediately stop registration or terminate the use of Nutstore.
The user is only allowed to install and use Nutstore on hardware and/or operating systems that have been legally acquired and officially publicly released by third-party manufacturers. Additionally, the operating system should be a version that is publicly supported by Nutstore as indicated on its official website. If the user installs and uses Nutstore on pirated hardware or systems, cracked software or systems, or on hardware or operating systems that have not been officially publicly released by the operating system manufacturer, including those provided for preview, testing, and exclusively for developers, or on operating systems that Nutstore has not explicitly supported, the user shall assume full responsibility for all consequences arising therefrom. 5. Modification, Interruption or Termination of Services
Due to the specialty of Nutstore network services, users agree that Nutstore has the right to change, interrupt or terminate part or all of the network services at any time. If the changed, interrupted or terminated network service is a free service item, Nutstore will not need to give any prior notice to users or incur any liability to any users or any third parties. If the services are paid for, users must be given one month’s notice in advance to negotiate a settlement of any unused or unpaid amounts. Upon cancellation or termination of the Services, User’s right to use the Services immediately terminates and any information stored in the Services may not be recoverable.
Nutstore are regularly or from time to time responsible for the repair or maintenance of the platforms on which these online services are being provided and will not be responsible for any interruption of free internet services caused by such conditions. If the Charged Service is interrupted within a reasonable time, Nutstore shall not take any responsibility for it, but as much notice as may be required.
Nutstore will not be responsible for suspension or termination of the Services due to nature disaster, failures of other information service providers, related information equipment and software failures, or any irresistible factors, provided that the effect of such factors on users shall be as minimal as possible.
For the interruption or termination of user services due to any factors other than those mentioned above, Nutstore shall bear no liability for free services. For paid services, Nutstore may make compensations on the principle of equal consultation and fairness and under the premise of not exceeding the total payment of users. In the case of a monthly payment, the total amount of compensation shall not exceed the amount of payment in the month in which service is interrupted and terminated. In the case of annual payment, the total amount of compensation shall not exceed the amount of payment in the year of service interruption and termination.
To avoid wasting server resources, such as the fact that a free user has not logged on to Nutstore Service for more than three months, Nutstore reserves the right to terminate the user’s free service without notification and to delete the user’s data saved on the server. However, before exercising such right, Nutstore shall inform the User if possible to reduce the impact on the User of the exercise of such right.
In order to avoid the waste of server resources, if the expired paid users fail to renew the services or convert the account into free services within three months, Nutstore reserves the right to terminate the paid services of such users without notice and delete the data saved by such users on the servers. However, before exercising such right, Nutstore shall inform the User if possible to reduce the impact on the User of the exercise of such right.
6. Prohibited Acts
Users shall not use Nutstore to spread sensitive information and information that violates national laws and policies in any manner, including but not limited to the following information:
(1) Those which oppose the basic principles determined by the Constitution;
(2) Endangering the unity, sovereignty and territorial integrity of the state;
(3) Divulging state secrets, endangering state security or damaging the honor and interests of the state;
(4) Inciting hatred or discrimination among ethnic groups, undermining the solidarity among ethnic groups, or infringing upon ethnic customs or habits;
(5) Those which advocate evil cults and superstition;
(6) Disseminating rumors, disturbing public order or disrupting social stability;
(7) Advocating obscenity, gambling or violence, or instigating crimes;
(8) Insulting or defaming others, or infringing upon others’ legitimate rights and interests;
(9) Harm the social morality or the excellent national culture and tradition;
(10) Other contents prohibited by laws, administrative regulations or state provisions.
7. Price
Except for the chargeable service items specified by Nutstore, Nutstore shall be registered and used for free.
The User understands and agrees that Nutstore will have the right to charge a reasonable service fee for certain current free services as needed based on the actual needs. If the User does not agree to the charge for such services, the User will have the right to opt out of using such Services or stop using Nutstore.
The User understands and agrees that Nutstore will have the right to decide whether to charge for the additional services, and that the User will have the option to accept or reject the Services.
If the user accepts the charge item of Nutstore, then the users shall pay as per regulations concerning the charging of Nutstore. After the success of purchase, the users cannot get a refund for any of the following conditions:
1) no unsolvable technical problems have occurred which prevents Nutstore from being used normally;
2) software is abused in bad faith, illegal documents are shared, etc.
If the User does not pay any fees or is in arrears, then Nutstore has the right not to provide the service to the User or stop providing the service to the User. Nutstore shall have the right to adjust the charges for items based on the actual need, and the user shall have the option to accept or refuse to use such items.
8. Privacy Policy
Protecting users’ privacy is a basic policy of Nutstore. Nutstore guarantees that the registration information of a single user and the non-public contents stored in Nutstore by a user when using network services will not be publicized or provided to any third party, unless any of the following circumstances occurs:
(1) provisions of relevant laws or procedures of legal service of Nutstore;
(2) in the case of emergency, to safeguard the rights and interests of the user and the public;
(3) to safeguard the trademark right, patent right and any other legal rights and interests of Nutstore;
(4) other circumstances in which personal information needs to be made public, edited or disclosed as required by laws.
9. Intellectual Property Rights
Both the User and Nutstore understand and agree that all intellectual property rights, including but not limited to, trademarks, trade names, as well as platforms and layouts of Nutstore, in respect of technical achievements or solutions that are developed or lawfully acquired by Nutstore from third parties for the purpose of providing the Services to users shall belong to Nutstore or such third parties. Without the license of Nutstore, users may not use, modify, etc. in any form, the aforementioned Intellectual Property Right or any part thereof.
Except as set forth above, the intellectual property rights of any works stored by user in Nutstore, including but not limited to pictures, music and videos, are owned by user (“User Works”) or third parties (“Third Party Works”). The user warrants that he/she should have full intellectual property rights with respect to the aforementioned User Works; If it is Third Party Works, the user should obtain the third party license or have the right to legally use the third party work if not obtain the third party license.
Unless otherwise provided by laws and regulations, users cannot use the Third Party Works in any manner without the prior permission of the owner of the works. If Nutstore receives reasonable notice from any third party owner or his legitimate representative of any work, Nutstore has the right to remove the infringing works accordingly; the User also has the right to give counter-notice with respect to the foregoing infringement claims.
10. Infringement of Intellectual Property Rights
The User warrants that no User Works or Third Party Works stored in the Nutstore will infringe upon any third party Intellectual Property Rights, including but not limited to, trademark right, copyright and trade secrets.
If the User Works or Third Party Works stored in Nutstore results in a third party claiming that the aforementioned work infringes its intellectual property rights, the User shall be responsible for dealing with the third party claims, bear all charges incurred therefrom, including but not limited to attorney’s fees and tort compensation, and ensure that Nutstore will not suffer any losses due thereto. User agrees that, in the event of such infringement, Nutstore reserves the right to remove such infringing works.
11. Disclaimers
To the maximum extent permitted by applicable law, Nutstore will not in any event be liable to users for any special, accidental, direct or consequential damages arising from the use or inability to use the services provided by Nutstore.
Nutstore makes no warranty of any kind, express or implied, for the Services provided, including but not limited to, no warranty that the Services provided by Nutstore will meet the users’ requirements, no warranty that the Services will be interrupted or not, and no warranty the that Services will be provided timely and safely.
12. Liability for Breach of Contract
If the user violates national laws or regulations or the provisions of the terms and causes losses to Nutstore, the user shall compensate Nutstore for all losses incurred and eliminate the impact.
13. Force majeure
If the users cannot use the service provided by Nutstore due to force majeure events, Nutstore will not be responsible for any loss of users. Force majeure events shall include but not be limited to (1) natural disasters, such as typhoons, floods and hail; (2) government actions, such as expropriation and requisition; (3) abnormal social events, such as strike and riot; (4) suspension of services due to computer virus or hacker attack, Internet, communication line, etc.
14. Effective Date and Valid Period
The Terms shall come into effect after the user successfully registers Nutstore account. User rights terminate when user unregisters their username or when Nutstore terminates their user status. Thereafter, terms 9, 10, 11, 12, 15 and 16 shall continue in force.
15. Governing Law and Dispute Resolution
The Terms shall be construed and governed by the laws of the People’s Republic of China, without regard to any conflict of laws.
Any dispute between the parties with respect to this Terms shall be resolved by friendly consultation in good faith between the Parties. If no settlement can be reached within 30 days, both parties agree to submit such dispute to Shanghai Arbitration Commission for arbitration in accordance with its then-effective arbitration rules. The arbitral award is final and binding upon both parties. Unless otherwise provided in the arbitration award, the arbitration costs shall be borne by the losing Party.
16. General Terms
In performing under these Terms, the User and Nutstore shall comply with all applicable laws.
Nutstore has the right to send notices, advertisements, etc. to users by posting notices or sending emails on Nutstore and so on.
Nothing contained in these Terms shall be construed to create a joint venture, partnership, agency, or any other relationship other than for the purposes of these Terms between the User and Nutstore.
User understands and agrees that Nutstore reserves the right to modify the terms as necessary. If the user does not agree to the change, he/she shall have the right to exit Nutstore and terminate the service relationship. If the user continues to use the services provided by Nutstore, it means that the user agrees to the modification of the terms.
If any provision of the terms is held to be invalid for any reason, such invalid provision shall not affect the validity of any other provision, and such invalid provision shall be deemed non-existent from the moment.
Nutstore has the right to assign any of its rights or obligations under the Terms.
